TERMS AND CONDITIONS FOR PARENTS AND GUARDIANS
Full Legal Participation, Media, Audition and Program Terms
Welcome to the official online audition portal for the Rhythm Africa Youth Tribe ("RAYTribe" or the "Program"), an initiative of the Rhythm Africa Festival, organized in partnership with Kunbi’s Music Company, Feeln on the 5th, and affiliated production and distribution partners including Shlepp Entertainment (collectively, the "Organizers"). By uploading an audition video, completing any application or registration form, accepting selection, participating in rehearsals, mentorship, media activities, workshops, scholarship or education programs, or otherwise taking part in the Program, you as the Parent or Legal Guardian (the "Parent/Guardian") agree, on your own behalf and on behalf of your minor child (the "Participant"), to be bound by these legally binding Terms and Conditions.
1.1. Definitions and Interpretation
In these Terms and Conditions: "Program" means RAYTribe and all related auditions, training, rehearsals, performances, filming, photography, educational, mentorship, scholarship, reward and promotional activities; "Organizers" means Rhythm Africa Festival, Kunbi’s Music Company, Feeln on the 5th, and permitted partners, sponsors, licensees, broadcasters, distributors and production companies including Shlepp Entertainment; "Content" means all videos, photographs, audio recordings, interviews, performances, submissions, biographical information and other materials provided by or featuring the Participant; and "Event" means the Rhythm Africa Festival and any associated live or recorded showcase, concert, activation or public appearance.
References to the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation.
2.2. Eligibility and Authority to Consent
Participants must be between ten (10) and nineteen (19) years old at the time of submission unless the Organizers expressly state otherwise in writing.
Every submission must be made or expressly authorized by a Parent/Guardian aged eighteen (18) or over who has full legal authority to consent to the Participant’s application and participation.
By submitting or permitting participation, the Parent/Guardian represents and warrants that all information provided is true, accurate, current and complete and that the Parent/Guardian has full authority to accept these Terms on behalf of the Participant.
3.3. Nature of the Program
RAYTribe is a developmental youth talent initiative that may include auditions, assessments, workshops, rehearsals, mentorship, educational sessions, scholarship opportunities, filming, photography, media exposure, promotional appearances and, at the Organizers’ discretion, live or recorded performances connected to the Rhythm Africa Festival.
The Program is not an employment relationship, talent management agreement, guaranteed booking arrangement, agency relationship or promise of commercial engagement.
4.4 Submission Requirements and Audition Rules
Audition videos must be no longer than sixty 5 to 6 mins, unless the Organizers expressly state otherwise, and should showcase the Participant’s genuine, raw, and substantially unedited talent, including singing, dancing, spoken word, instrumental performance, a cappella performance, or another approved creative discipline.
Submissions must not contain any unlawful, defamatory, obscene, offensive, discriminatory, hateful, dangerous, misleading, or otherwise inappropriate material. The Organizers also reserve the right to reject content they consider politically sensitive, reputationally harmful, or unsuitable for a youth-focused talent event.
Submissions may include third-party music and other third-party content; however, any such submission shall be subject to review by the Organizers. A submission that uses third-party music may still be eligible for audition consideration, but unless the Parent/Guardian and/or Participant can demonstrate that all necessary rights, permissions, licenses, and clearances have been obtained, that submission may not be eligible for streaming, broadcast, or exhibition as part of the Rhythm Africa Festival show, long-form programming, or related distribution channels. For the avoidance of doubt, such submissions may still, at the Organizers’ discretion, be used in limited promotional or social media marketing contexts.
Participants are strongly encouraged, where possible, to submit original material, no matter how simple or basic, or to use music and material that is in the public domain or otherwise properly cleared for use. This is encouraged particularly because performances containing original, public domain, or otherwise fully cleared material are more likely to be eligible for streaming, broadcast, and wider promotional exposure during the early rounds of auditions and throughout the Program.
Acappella performances are fully encouraged and, subject to compliance with these Terms, are generally eligible for streaming and broadcast. Cultural performances, including the use of certain culturally traditional third-party content, may also be accepted for submission and may be eligible for streaming and broadcast where the Organizers determine, in their sole discretion, that such use is customary, appropriate, legally permissible, and consistent with the objectives of the Program.
The Parent/Guardian remains solely responsible for ensuring that any content submitted on behalf of the Participant does not infringe the intellectual property, privacy, publicity, cultural, or other rights of any third party. The Organizers reserve the absolute right, in their sole discretion, to reject, remove, moderate, edit, restrict, disqualify, or decline to review any submission for non-compliance, technical issues, safeguarding concerns, legal risk, quality control reasons, reputational concerns, or any other reason they deem appropriate. 5.5. Selection Process and No Guarantee of Advancement
Selection, shortlisting, callbacks, acceptance into RAYTribe, assignment of roles, participation in content, and any invitation to rehearse or appear are all at the sole and absolute discretion of the Organizers and any appointed judges, mentors, ambassadors or panelists.
All judging and selection decisions are final. The Organizers are under no obligation to provide feedback, rankings, reasons for non-selection or further opportunities.
6.6. No Guarantee of Festival Performance or Event Occurrence
Acceptance into RAYTribe, being selected as a finalist, being chosen for training, being featured in media content, or even being chosen to perform does not guarantee that the Participant will perform at the Rhythm Africa Festival or any related event.
The Organizers may change line-ups, schedules, roles, performance opportunities, venues, formats, production plans and participation requirements at any time and for any reason.
If the Event is delayed, rescheduled, suspended, reduced, restructured or cancelled in whole or in part for any reason, including operational, commercial, governmental, public health, security, weather, force majeure or other unforeseen reasons, the Participant may not perform and no claim shall arise against the Organizers on that basis.
If a live performance does not occur, the Organizers may nevertheless continue mentorship, scholarship, education and reward programs for selected participants, and the Parent/Guardian acknowledges that such continuation is at the Organizers’ discretion and subject to program resources and safety considerations.
7.7. Rehearsals, Attendance and Participant Responsibilities
If selected, the Participant must attend required meetings, rehearsals, workshops, recordings, fittings, media sessions and related activities as scheduled by the Organizers.
Punctuality, preparedness, respectful conduct and compliance with instructions are mandatory. Repeated lateness, absence, misconduct, unreliability, unsafe behavior or failure to follow instructions may result in suspension or removal from the Program without liability to the Organizers.
The Parent/Guardian is responsible for ensuring the Participant remains reachable, available and appropriately supervised when not under the direct care of an expressly designated Program representative.
8.8. Travel, Meals and Reasonable Expenses
Once a Participant has been officially chosen and is formally requested by the Organizers to rehearse for or take part in the Festival itself, the Organizers will cover reasonable and necessary expenses directly related to such official participation, including reasonable travel, food and ordinary day-to-day essential items
Expense support applies only to approved activities, dates and categories communicated by the Organizers and may be provided by direct booking, reimbursement, stipend, voucher, per diem or other method determined by the Organizers.
No reimbursement is required for expenses that are excessive, unauthorized, unsupported by receipts where requested, unrelated to official Program activity or incurred by persons not approved by the Organizers.
9.9. Health, Welfare, Safeguarding and Medical Matters
The Parent/Guardian confirms that the Participant is physically, mentally and emotionally capable of safely taking part in the Program and will disclose any relevant medical, accessibility, dietary, behavioral, safeguarding or support needs that the Organizers should reasonably know about.
The Parent/Guardian authorizes the Organizers to obtain or arrange reasonable first aid or emergency assistance if the Parent/Guardian cannot be reached promptly. The Parent/Guardian remains responsible for medical history accuracy and for all broader medical decisions and costs except to the extent expressly agreed otherwise in writing.
The Organizers may remove or restrict a Participant from activities where the Organizers reasonably believe participation may pose a risk to the Participant or others.
10.10. Code of Conduct
Participants and Parent/Guardians must behave respectfully toward staff, mentors, other participants, venue personnel, sponsors, partners and members of the public.
Bullying, harassment, discrimination, threats, violence, theft, substance misuse, weapon possession, serious disruption, reputationally harmful behavior, unlawful conduct or misuse of social media in relation to the Program may result in immediate disqualification or removal.
The Organizers may publish or communicate additional codes, child protection requirements, safeguarding protocols, wardrobe rules, venue rules or production policies, all of which shall form part of these Terms.
11.11. Filming, Photography, Name and Likeness Release
By permitting the Participant to audition or take part in the Program, the Parent/Guardian irrevocably consents to the filming, photography, audio recording and other capture of the Participant at auditions, rehearsals, workshops, performances, interviews, travel days, behind-the-scenes sessions, promotional events and related activities.
The Parent/Guardian further grants the Organizers the unrestricted right to use the Participant’s name, stage name, voice, image, likeness, biographical information, statements, performances and appearances in connection with the Program and the promotion, marketing, distribution and exploitation of the Program, the Event, the Organizers and affiliated channels, including social media, websites, television, OTT and VOD channels and future festival promotions.
Such use may include editing, dubbing, subtitling, clipping, excerpting, adapting, combining with other materials and using the Content in advertising, sponsorship decks, promotional trailers, documentaries, recaps, educational materials and archive materials, without further notice, approval or compensation.
12.12. Ownership of Recorded Media and Intellectual Property
All media recorded in connection with auditions, the Program or the Event, including raw footage, edited footage, photographs, interviews, performances, behind-the-scenes footage, broadcasts and derivative works, shall remain the sole property of Feeln on the 5th and Rhythm Africa Festival and may also be used, exploited, licensed, distributed and otherwise utilized by Shlepp Entertainment and other authorized Organizers or licensees.
Nothing in these Terms transfers ownership of any such recorded media to the Participant or Parent/Guardian.
The Organizers also retain all rights in Program names, brands, logos, graphics, event concepts, production formats, artwork, posters, promotional materials and related intellectual property.
13.13. Participant Use of Content
Participants may freely share, repost and use short-form content that is officially published or provided by the Organizers for promotional or social media purposes, provided such sharing does not imply endorsement beyond the Program and does not alter the content in a misleading, defamatory or infringing way.
Long-form content, including full performances, documentaries, interviews, full-length episodes, broadcast segments, compilations, rehearsals, master recordings and other extended audiovisual content, may not be independently uploaded, sold, licensed, broadcast, exploited or otherwise used by the Participant, Parent/Guardian or any third party on their behalf without the Organizers’ prior written permission.
14.14. Participant Content Warranties
The Parent/Guardian represents and warrants that any Content submitted by or on behalf of the Participant is original to the Participant or otherwise lawfully submitted with all required permissions, and that its submission and use by the Organizers will not infringe any copyright, trademark, privacy, publicity or other right of any third party.
The Parent/Guardian agrees to be responsible for any claims arising from breach of the above warranty.
15.15. Privacy and Data Protection
The Organizers may collect and process personal information relating to the Participant and Parent/Guardian, including names, contact details, age, location, school information where relevant, emergency contacts, submitted media and participation records, for the purposes of administering the Program, communicating about opportunities, safeguarding, production, publicity and future related music or cultural initiatives.
The Organizers will take reasonable steps to store personal data securely and will not sell personal data to unrelated third parties. The Parent/Guardian acknowledges, however, that where Content is published or broadcast, related personal information such as first name, age bracket, city, biography and likeness may become publicly available as part of legitimate Program promotion and distribution.
16.16. Sponsorship, Scholarships, Mentorship and Rewards
Any scholarship, mentorship, training, reward, grant, sponsorship support or development opportunity associated with the Program is discretionary, subject to availability, sponsor participation, eligibility, compliance with Program standards and any additional terms communicated by the Organizers.
No statement, promotional material or selection notice shall be interpreted as a guaranteed right to any particular scholarship value, cash award, commercial opportunity or future booking unless expressly confirmed in writing by the Organizers.
17.17. Disqualification, Suspension and Removal
The Organizers may suspend, disqualify or remove any Participant or Parent/Guardian from the Program at any time, with or without notice, if they believe there has been a breach of these Terms, misconduct, safety risk, reputational concern, false information, non-cooperation, legal risk, conflict of interest or any other circumstance making continued involvement undesirable or impracticable.
Removal from the Program shall not affect the Organizers’ continued ownership and usage rights in Content already recorded or submitted.
18.18. Assumption of Risk and Release
The Parent/Guardian understands that participation in auditions, rehearsals, travel, filming, live events and related activities may involve risks including fatigue, injury, illness, emotional stress, transportation risks, crowd-related risks and other foreseeable or unforeseen risks.
To the fullest extent permitted by law, the Parent/Guardian voluntarily assumes such risks on behalf of the Participant and releases the Organizers from claims arising from ordinary risks of participation, except to the extent caused by gross negligence, fraud or willful misconduct where liability cannot legally be excluded.
19.19. Limitation of Liability
The Organizers shall not be liable for technical failures, delayed uploads, corrupted files, connectivity issues, platform outages, device incompatibility, missed communications, third-party platform disruptions, loss of opportunity, indirect loss, reputational loss or consequential damages arising in connection with the Program.
To the fullest extent permitted by law, any liability of the Organizers shall be limited to direct loss actually proven and shall not include speculative, special or punitive damages.
20.20. Indemnity
The Parent/Guardian agrees to indemnify, defend and hold harmless Rhythm Africa Festival, Kunbi’s Music Company, Feeln on the 5th, Shlepp Entertainment, their sponsors, partners, affiliates, broadcasters, distributors, directors, officers, employees, volunteers, contractors, agents and representatives from and against any claims, actions, liabilities, losses, damages, costs and expenses, including reasonable legal fees, arising out of or related to the Participant’s submission, participation, conduct, breach of these Terms or infringement of third-party rights.
21.21. Force Majeure
The Organizers shall not be responsible for delay, suspension, alteration or failure to perform any part of the Program or Event due to events beyond their reasonable control, including acts of God, epidemic, pandemic, public health emergencies, strikes, civil unrest, terrorism, governmental action, venue failure, utility failure, adverse weather, transportation disruption, war, security incidents or supplier non-performance.
22.22. Communications and Notices
The Parent/Guardian is responsible for providing accurate contact details and for monitoring communications from the Organizers. The Organizers are not responsible if opportunities, deadlines or instructions are missed because inaccurate or outdated contact information was provided or because messages were filtered, ignored or inaccessible.
23.23. Amendments and Additional Policies
The Organizers may update, amend or supplement these Terms and any related guidelines, schedules or policies from time to time. Continued participation after notification of an update constitutes acceptance of the revised terms to the extent permitted by law.
24.24. Severability, Waiver and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
A failure by the Organizers to enforce any provision shall not constitute a waiver of that provision or any other rights.
These Terms, together with any written policies or notices expressly incorporated by reference, constitute the entire agreement governing the Participant’s audition and participation in the Program.
25.25. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. The courts of Lagos State, Nigeria, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, unless the Organizers specify an alternative dispute process in writing.
26.26. Acceptance
By submitting an audition, completing a form, clicking to accept, or permitting the Participant to take part in any Program activity, the Parent/Guardian confirms that they have read, understood and agreed to these Terms and Conditions on behalf of themselves and the Participant.
27.Parent/Guardian Acknowledgment
I confirm that I am the Parent/Guardian of the Participant and that I have read, understood and agree to these Terms and Conditions on my own behalf and on behalf of the Participant. I understand that submitting for audtions means that I have read and understood these terms and conditions fully.
